Minutes of Special Unit 207 Board Meeting
April 19, 2008
The board met
to discuss a written proposal from the Bridge Center of Austin (BCA) for Unit
207 to commit to holding sectionals and unit games at the new BCA location,
assuming the BCA moves to that location. Board members present were Harriette
Bowles, Mark Miller, Robert Donathan, Phyllis Tate, Mark McAllister, Joe Black and
Charlie Aufill. Absent were Leonard McCormick (out of country) and Larry Davis,
who is a part owner of BCA and chose not to participate in the board
discussion.
The board
crafted a response to BCA which included a commitment to hold 2 sectionals a
year, plus unit games, at the new BCA. Proposed rent for sectionals was less
than what BCA had proposed. Also proposed was that BCA be
responsible for drinks and snacks at sectionals. Also proposed was that BCA be
allowed to hold one club sectional a year (2-day or 3-day). The board voted to
approve the unit response and submit it to BCA.
The next day BCA
President Beth Tobias replied with written comments on the changes the unit
made from the BCA proposal, saying, in effect, that the new BCA venture has
high financial risk with low profit potential, and that the BCA shareholders
would be unlikely to proceed without a more favorable proposal from the unit.
The unit
discussed the matter in email exchanges and agreed to modify the proposal to
terms more favorable to BCA, including BCA’s proposed sectional rent, dropping
the snacks/drinks requirement, and not limiting the length of the yearly club
sectional. A final version of the unit proposal was sent to the board members
and a vote was taken to approve the document for signing.
